Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Caribbean ExpoVerse platform ("Platform"), operated by VALAR5 ("we", "us", or "our"). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 16 years old and have the legal capacity to enter into binding contracts to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

2. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or breach of security. We are not liable for any loss or damage arising from your failure to safeguard your account.

3. Acceptable Use

You agree to use the Platform only for lawful business networking and professional purposes. You may not:

• Use the Platform for any illegal, fraudulent, or unauthorized purpose
• Harass, abuse, threaten, or discriminate against other users
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to systems, accounts, or data
• Scrape, crawl, or systematically collect data without permission
• Impersonate any person or entity, or misrepresent your affiliation
• Use automated scripts or bots to interact with the Platform
• Share confidential or proprietary information of others without consent
• Upload content that infringes intellectual property rights
• Disrupt or interfere with the integrity or performance of the Platform

4. User Content

You retain ownership of any content you submit to the Platform, including profile information, messages, booth materials, and media ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute that content solely for the purpose of operating and improving the Platform.

You represent that you have all necessary rights to your User Content and that it does not violate any third-party rights or applicable laws. We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate.

5. Business Card Exchange and vCards

The Platform enables users to generate and exchange digital business cards (vCards). You are solely responsible for the accuracy of the information in your vCard. When you share a vCard with another user or exhibitor, you consent to that party receiving your contact details. We are not responsible for how recipients use shared contact information.

6. AI Matchmaking (AURA)

AURA is an AI-powered recommendation system that suggests potential connections based on profile data and preferences. AURA recommendations are automated suggestions, not endorsements or guarantees. We do not guarantee the accuracy, suitability, or outcome of any connection made through AURA.

7. Exhibitor Booths and Third-Party Content

Exhibitor booths and their content are provided by third parties. We do not endorse, verify, or assume liability for exhibitor content, products, services, or claims. Any transactions or agreements you enter into with exhibitors are solely between you and the exhibitor.

8. Intellectual Property

The Platform, including its design, code, graphics, logos, and features, is owned by VALAR5 and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our express written permission.

"Caribbean ExpoVerse", "AURA", and related logos and marks are trademarks of VALAR5. All other trademarks appearing on the Platform are the property of their respective owners.

9. Termination

We may suspend or terminate your account and access to the Platform at any time, without notice, for any reason, including violation of these Terms. Upon termination, all licenses granted to you will cease immediately. You may also delete your account at any time through your profile settings.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VALAR5 AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR USE OF THE PLATFORM IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

12. Indemnification

You agree to indemnify, defend, and hold harmless VALAR5 and its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your User Content, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved through binding arbitration in Port of Spain, Trinidad and Tobago, unless otherwise agreed by the parties.

14. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on the Platform with the "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the revised Terms. Material changes will be notified via email or prominent notice on the Platform.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
